References to "services" in these Terms include website access, digital platform access, client onboarding, account administration, virtual asset management and investment services, portfolio management services, virtual asset-related products, market commentary, educational materials, and related communications made available by Sagebrush.

Regulatory Status

Sagebrush's services are subject to applicable laws, regulations, regulatory approvals, licensing permissions, restrictions, and conditions imposed by competent authorities, including the Virtual Assets Regulatory Authority ("VARA"), where applicable.

Nothing on the website should be interpreted as an offer to provide regulated services in any jurisdiction where Sagebrush is not authorised or permitted to do so.

Sagebrush may restrict, suspend, delay, modify, or withdraw access to any product, service, feature, jurisdiction, client category, virtual asset, or transaction where required or appropriate for legal, regulatory, compliance, risk management, operational, sanctions, AML/CFT, or business reasons.

Eligibility

You may use the website and services only if you are legally permitted to do so and meet Sagebrush's eligibility, onboarding, suitability, and compliance requirements.

Sagebrush may classify clients in accordance with applicable laws, regulations, internal policies, and regulatory requirements.

Client categories may include:

• Professional Clients
• Institutional Clients
• Qualified Investors
• Other classifications recognised under applicable law

Your client classification may affect the products, services, protections, disclosures, risk warnings, limits, fees, and onboarding requirements applicable to you.

Account Registration and Onboarding

To access certain services, you may be required to register, complete onboarding, provide information and documents, and pass KYC, AML, sanctions, suitability, tax, and related compliance checks.

You agree to provide accurate, complete, current, and non-misleading information.

User Responsibilities

You are responsible for:

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Dubai International Financial Centre and applicable federal laws of the United Arab Emirates unless otherwise required by law.

Subject to mandatory legal requirements, the courts of the Dubai International Financial Centre shall have exclusive jurisdiction over disputes arising from these Terms.
